Brazil: Change to LLC requirements

As part of its “Law of Economic Freedom,” passed in the fall of 2019, Brazil has changed the rules governing limitadas, or limited liability companies. Authorities are for the first time allowing limitadas to be formed and maintained with a single shareholder, also known as a quotaholder. The new rules give foreign companies more flexibility. U.S. companies in particular may have new tax-planning opportunities as a result of the changes.
